Terms & Conditions

The agreement between you and us when you use CHnet. We have kept it short and plain on purpose.

If anything is unclear, ask us at support@umbrelladev.com before you sign up.

1. Who we are

CHnet is run by Umbrelladev Limited, a company registered in England and Wales, number 16748958, with its registered office at The Loft, Vauxhall Quay, Plymouth PL4 0DN. In these terms, “we” and “us” mean that company, and “you” means the business, charity, club or other organisation that opens an account.

2. What CHnet is

CHnet is software. It lets you sell tickets, memberships, subscriptions and other payments, take donations, run free events, and publish pages and sites, either on CHnet or embedded in your own website.

You are the seller. When someone buys from you through CHnet, the sale is between you and your customer. We are not a party to it, and we do not run your events or provide your goods and services.

3. Your account

  • You must give us true and current details and keep them up to date.
  • You are responsible for keeping your login secure and for what happens under it. Tell us straight away if you think someone else has got in.
  • We may ask for evidence that your organisation is genuine before payments are paid out to you.
  • You can build and preview events, and run free events, without connecting a payment account. You need one to take payments.

4. Payments and Stripe

Card payments are processed by Stripe. To take payments you connect your own Stripe account to CHnet, and you must accept Stripe's terms for connected accounts. Money from your customers is paid by Stripe to you. We do not hold your funds.

Stripe decides who can use its service, how quickly accounts are verified, and when payouts are made. We cannot speed that up or be responsible for Stripe's decisions or delays.

5. Fees

Our fees are set out on our pricing page at the time you sign up, and apply to each payment you take. They are taken automatically from each payment before it reaches you. Stripe's own processing fees are separate and are charged by Stripe. Prices are shown without VAT unless we say otherwise, and VAT is added where it applies.

Free events and free tickets carry no fee from us. We will tell you in advance, and give you the chance to leave, before changing our fees. Changes will not affect payments already taken.

6. Selling to your customers

You are responsible for:

  • everything you sell: descriptions, prices, dates, venues, and delivering what you promised;
  • your own refund and cancellation policy, which you must make clear to buyers, and for deciding on refund requests. We can help process a refund through Stripe on request;
  • cancelling or rescheduling an event, and dealing with the buyers affected;
  • chargebacks and disputes on your sales, including any fees Stripe charges for them;
  • telling your customers about any recurring payment, such as a membership or subscription, and how they can cancel it.

Processing fees charged by Stripe may not be returned when you refund a payment.

7. Your customers' data

For the personal data of the people who buy from you or join your lists, you decide why and how it is used. You are the “controller” and we are your “processor”: we handle it on your behalf, only to provide CHnet, and with appropriate security. You must have a lawful reason to collect it, give people a privacy notice, and follow UK data protection law.

We do not store full card numbers; these are handled by Stripe. For the personal data of the people who run CHnet accounts, we are the controller, as described in our privacy policy. We may use anonymised, combined data to detect fraud and improve the service.

8. What you must not do

  • Use CHnet for anything unlawful, misleading or fraudulent, or for anything Stripe does not allow.
  • Sell goods or services that we or Stripe reasonably consider inappropriate.
  • Interfere with, copy or try to break into the service or other people's accounts.
  • Resell CHnet to others without our written agreement.

9. Support and availability

You can reach us through the support centre, the contact form, email or telephone. We aim to answer on the same working day, Monday to Friday during UK business hours. We work to keep CHnet running and will warn you of planned maintenance where we can, but we cannot promise it will always be available.

10. Ending the agreement

You can stop using CHnet at any time by closing your account. We can end this agreement by giving you 30 days' notice. We can suspend or end it straight away if you break these terms, if Stripe stops serving you, or if we have to by law.

When it ends, your pages and embedded forms will stop working. Ask us and we will help you export your data. You still owe any fees on payments already taken.

11. Our responsibility to you

We will provide CHnet with reasonable care and skill. Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.

Beyond that, we are not liable for lost income, lost profit, lost data or indirect losses, or for problems caused by Stripe, your bank, your internet connection, or events outside our control. Our total liability to you for anything arising from your use of CHnet is limited to the fees you paid us in the 12 months before the problem arose.

You are responsible for what you sell and for your own compliance with the law. You agree to cover our reasonable losses if a claim against us arises from your breach of these terms or the law.

12. Changes to these terms

We may update these terms from time to time. For anything that matters, we will give you at least 30 days' notice by email or in your account. If you carry on using CHnet after that, you accept the new terms.

13. The small print

  • This is the whole agreement between us about CHnet and replaces any earlier terms.
  • You may not transfer your account or this agreement to anyone else without our written consent.
  • If part of these terms turns out to be unenforceable, the rest still applies.
  • If we delay enforcing a right, we have not given it up.
  • These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
