Terms & Conditions For Use Of The CHNet Directory

These Terms and Conditions govern the relations between Xperedon Inc, of 14, Rue du Rhône, 1204 Geneva, Switzerland (“CHNet”) and users of the CHNet International Charities’ Directory.

These Terms and Conditions may be changed by CHNet from time to time on the CHNet web-site.

1. Scope: CHNet has developed and shall maintain and make available to the general public, via its website www.chnet.com and, at its option, on other related websites, an international directory of charities. Charities are displayed on the web-site as a result of their own application, of users' suggestions and of CHNet's own research. CHNet refuses to list organisations that have no web-site or an inconsistent web-site, that have a political purpose or agenda, or that have a dubious existence or activities.

2. CHNet Services: Charities may opt for additional CHNet membership subscription packages offered by CHNet on its web-site from time to time, which include additional services to be provided by CHNet to Members. Where a charity opts for such a package by clicking on the relevant approval button on the CHNet web-site, it becomes a "Member" and accepts to pay the applicable CHNet Fee for that particular Member status, and CHNet accepts to deliver such additional services to the Member as are defined for that Member status. None of the CHNet services includes donation collection services.

3. Charity Page: Each Charity has one Charity Page on CHNet for its country of establishment. Where Charities have a multinational presence, each national Charity may have its own Charity Page. The content of each Charity Page reflects data and pictures taken by CHNet from such Charity's own web-site. Charities which do not have a Member status giving them access to edit and post content on their Charity Page, may request CHNet by e-mail to make appropriate edits and changes. All contents of each Charity Page are owned by the relevant Charity, and CHNet makes no claim of title on any such contents. Unless a Charity requests CHNet to remove or to change any contents, CHNet is authorized to display it on the Charity Page.

4. Charity Opt-out: Any Charity may request CHNet to be removed from the CHNet Web-site, and from any CHNet-related site, at any time, whereupon CHNet will promptly de-list such Charity, remove its Charity Page and remove that Charity from any search result on the CHNet Directory. In case an opting-out Charity resubmits for listing on the CHNet Web-site at a later stage, CHNet may refuse the re-listing of such organisation.

5. CHNet Fees: The listing of Charities which have no Member status is cost-free. The amount of fees charged to Members according to the various Member statuses and the duration of such subscriptions are indicated on the CHNet web-site at the time the Member clicks on the "I accept" button. Fess may also be subject to other specific agreements between CHNet and Members. CHNet will issue an invoice for its fees (and VAT if applicable) to the Member, which fees will be payable within 30 days from the date of receipt of the invoice unless they are charged to a payment card indicated by the Member on the CHNet web-site.

6. Effect and Duration: These Terms and Conditions are applicable in respect of Charities listed on CHNet web-site until (i) a Charity has requested to be delisted, (ii) CHNet has delisted a Charity, or (iii) in the case of Members, the relevant subscription period has lapsed and without renewal of the subscription. CHNet may terminate a subscription for a Member if CHNet's fees are overdue.

7. Confidentiality and Privacy: CHNet will at all times treat personal data of Charities, Members and other users, according to its Privacy Policy displayed on the CHNet web-site and in compliance Swiss Data Protection Regulations. CHNet represents that it does not record, process or store any payment card numbers whether on its web-site or elsewhere.

8. CHNet Trademarks and Copyrights: The Xperedon name and logo are protected trademarks. The CHNet Directory contains material protected by database regulations and copyright laws.

9. No Representation: CHNet makes no representations in respect of the contents of any Charity Page, or on any Charity, its existence or activities, and disclaims any liability in relation to any content on any Charity Page. Donors and other third parties must make their own determination on the Charity's existence, standing and qualifications before making any decision regarding any Charity listed on CHNet.

10. Governing Law and Jurisdiction: These Terms and Conditions are governed by Swiss Law and the parties submit to the exclusive jurisdiction of the courts of Geneva, Switzerland.
